User Agreement

These Terms of Service ("Terms") form a binding agreement between Measure Marketing Professionals LLC ("UTM Buddy," "we," "us," or "our") and you ("you," "User"). These Terms govern your access to and use of our websites, applications, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms.

1) The Service

UTM Buddy provides tools to help users create, manage, and organize UTM-tagged links and related marketing measurement workflows (the "Service"). We may update, change, or discontinue parts of the Service at any time.

2) Eligibility & Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

You agree to:

  • Provide accurate account information.
  • Keep your login credentials secure.
  • Promptly notify us of any unauthorized access to your account.

You are responsible for all activity that occurs under your account.

3) Plans, Trials, Subscription Billing, and Taxes

Plans & Trials

We may offer free or paid plans, including trials. Trial terms (length, features, limits) will be described at sign-up or within the Service.

Billing

If you purchase a paid plan, you authorize us (and our payment processor) to charge your payment method for:

  • recurring subscription fees,
  • any applicable taxes,
  • and any additional fees you choose (e.g., add-ons).

Subscriptions renew automatically unless you cancel before the renewal date.

Cancellation

You can cancel your subscription through your account settings (or by contacting us). Cancellation stops future renewals; it does not retroactively refund prior charges unless required by law or expressly stated.

Taxes

You are responsible for any applicable taxes, duties, or similar governmental assessments, unless we are required to collect them.

4) Acceptable Use (What you can't do)

You agree not to, and not to help others to:

  • Use the Service for illegal, harmful, or fraudulent purposes.
  • Interfere with or disrupt the Service (including attempting to bypass rate limits or security measures).
  • Reverse engineer, decompile, or attempt to extract source code (except where prohibited by law).
  • Scrape, copy, or harvest data from the Service in an automated way without written permission.
  • Upload or transmit malware, exploit code, or harmful content.
  • Access the Service in a way intended to avoid fees or usage limits.

We may suspend or terminate accounts that violate these rules.

5) User Content & Customer Data

Your Content

You may input data into the Service such as link names, UTM parameters, campaign naming, destinations, and notes ("Customer Data").

As between you and UTM Buddy:

  • You own Customer Data.
  • You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data only as needed to operate, secure, and improve the Service and provide support.

Sensitive Data

Unless we explicitly agree in writing, you will not upload:

  • highly sensitive personal data (e.g., government IDs, financial account numbers),
  • protected health information,
  • or other regulated sensitive data.

6) Intellectual Property

We and our licensors own all rights, title, and interest in the Service, including software, designs, trademarks, and documentation.

These Terms grant you a limited, non-transferable, non-exclusive right to use the Service during your subscription, subject to these Terms. No other rights are granted.

7) Feedback

If you provide feedback or suggestions, you grant us the right to use it without restriction or compensation.

8) Third-Party Services

The Service may integrate with third-party products and services (e.g., analytics tools, payment processors, URL destinations, QR code tools). Your use of third-party services is governed by their terms, and we are not responsible for third-party services.

9) Service Availability & Support

We aim to keep the Service available, but we do not guarantee uninterrupted access. Maintenance, outages, and unforeseen issues can occur.

Support channels and response times (if any) will be described in-product or on our website.

10) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTM BUDDY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANY OUTPUTS OR RESULTS WILL BE ACCURATE OR RELIABLE.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • UTM BUDDY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO UTM BUDDY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS), WHICHEVER IS GREATER.

Some jurisdictions don't allow certain limitations, so some of the above may not apply to you.

12) Indemnification

You agree to defend, indemnify, and hold harmless UTM Buddy and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your use of the Service,
  • your Customer Data,
  • your violation of these Terms,
  • or your violation of any law or third-party rights.

13) Suspension & Termination

We may suspend or terminate your access to the Service if:

  • you violate these Terms,
  • your payment is overdue,
  • your use creates risk or legal exposure for us or others,
  • or we are required to do so by law.

You may stop using the Service at any time and may cancel your subscription as described above.

Upon termination, your right to use the Service stops immediately.

14) Data Export & Deletion

We may provide self-serve exports and deletion controls depending on your plan. If you request deletion, we will handle it as described in the Privacy Policy and subject to legal retention requirements.

15) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., email, in-app notice, or posting an updated effective date). Your continued use after the effective date means you accept the updated Terms.

16) Governing Law; Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, excluding its conflict of laws rules.

Dispute Resolution: Disputes will be resolved exclusively in the state or federal courts located in Delaware, and you consent to jurisdiction there.
