User Agreement

1. The Service

UTM Buddy provides a platform for creating, managing, and tracking UTM parameters for marketing campaigns. Our service includes the UTM Buddy website, mobile applications, API, and all related features and functionality. We may modify, suspend, or discontinue any aspect of our service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our service.

2. Eligibility & Account Registration

You must be at least 18 years old to use our services. By using UTM Buddy, you represent and warrant that you have the legal capacity to enter into this agreement and that you will comply with all applicable laws and regulations. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary. You are solely responsible for any breach of security or unauthorized use of your account.

3. Plans, Trials, Subscription Billing, and Taxes

UTM Buddy offers various subscription plans with different pricing, features, and usage limits. Some plans may include a free trial period. By initiating a paid subscription, you authorize us to charge your designated payment method on a recurring basis according to your chosen plan. Billing occurs monthly or annually, depending on your selected plan. You are responsible for maintaining valid payment information and for all charges incurred under your account. If a payment fails, you remain responsible for all unpaid amounts. We may change our pricing and plan features with 30 days' notice. If you do not accept the new pricing, you may cancel your subscription before the changes take effect. You are responsible for all taxes, duties, and governmental fees associated with your use of our service, unless you provide valid tax exemption documentation. Prices are in USD unless otherwise specified.

4. Acceptable Use

You agree not to use UTM Buddy in any way that:

• Violates any applicable law, regulation, or third-party rights
• Harasses, abuses, threatens, defames, or harasses any person or entity
• Transmits malware, viruses, or any code of a destructive nature
• Attempts to gain unauthorized access to our systems or networks
• Interferes with or disrupts the integrity or performance of our service
• Engages in spam, phishing, or fraudulent activities
• Infringes on intellectual property rights of others
• Violates the privacy or security of any user or third party
• Uses our service for any illegal or unauthorized purpose

We reserve the right to investigate violations and take appropriate legal action.

5. User Content & Customer Data

You retain all rights to any content you create, upload, or input into UTM Buddy, including campaign data, UTM parameters, and analytics information ("Customer Data"). By using our service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, store, process, and analyze your Customer Data solely to provide and improve our services. You are responsible for ensuring that your Customer Data does not infringe on any third-party rights and complies with all applicable laws and regulations. You warrant that you have all necessary rights to upload and use your Customer Data. We will not use your Customer Data for marketing purposes without your explicit consent. You may delete your Customer Data at any time through your account settings.

6. Intellectual Property

All content, features, functionality, and materials on UTM Buddy, including text, graphics, logos, software, and code, are the exclusive property of Measure Marketing Professionals LLC or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, display, or transmit any content without our prior written permission. You may not modify, create derivative works, or attempt to reverse-engineer any part of our service. Any unauthorized use of our intellectual property is a violation of these Terms and applicable law.

7. Feedback

We welcome your feedback, suggestions, and ideas for improving UTM Buddy. By providing feedback, you grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free right to use, modify, and incorporate your feedback into our services without compensation to you. You acknowledge that we have no obligation to acknowledge, use, or implement your feedback.

8. Third-Party Services

UTM Buddy may integrate with or link to third-party services, platforms, and applications. We are not responsible for the availability, accuracy, content, or practices of third-party services. Your use of third-party services is governed by their terms and privacy policies, not these Terms. We do not endorse or warrant any third-party services. Any disputes or issues with third-party services are between you and the third-party provider.

9. Service Availability & Support

We strive to maintain high uptime and availability of our services, but we do not guarantee uninterrupted access. UTM Buddy may experience scheduled maintenance, downtime, or service interruptions. We will attempt to provide notice of planned maintenance when possible. Our support team is available to assist with technical issues, billing questions, and account management. Support availability and response times may vary. We reserve the right to limit support based on subscription plans. Emergency security issues will be addressed with priority.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH OUR SERVICE. ANY RELIANCE ON SUCH INFORMATION IS AT YOUR OWN DISCRETION AND RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEASURE MARKETING PROFESSIONALS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR, IF YOU HAVE NOT MADE ANY PAYMENTS, $100 USD. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY, SO THIS LIMITATION MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Measure Marketing Professionals LLC, its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your violation of these Terms; (b) your use of the service; (c) your Customer Data or any content you upload; (d) your infringement of any third-party rights; or (e) any damage or harm caused by your account. We reserve the right to assume the exclusive defense of any claim you are required to indemnify us for.

13. Suspension & Termination

Your account and access to UTM Buddy may be suspended or terminated at any time if you violate these Terms, engage in abusive behavior, fail to maintain valid payment information, or for any other reason at our sole discretion. Termination may be immediate and without notice in cases of serious violations or security threats. Upon termination, your right to use the service ceases immediately. You remain responsible for all charges incurred before termination. We will not be liable to you for any termination or suspension of your account.

14. Data Export & Deletion

You may export or backup your Customer Data at any time through your account. Upon account termination, your Customer Data will be retained for a period of time to allow you to export or retrieve it. After a specified period (currently 30 days), all Customer Data will be permanently deleted unless otherwise required by law. We are not responsible for any loss of data following account termination.

15. Changes to These Terms

We may modify these Terms at any time. Changes will be effective immediately upon posting to our website, or such other date as specified in the updated Terms. If the changes materially alter your rights or obligations, we will provide notice by email or prominent announcement on our website at least 30 days before the changes take effect. Your continued use of the service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the service.

16. Governing Law; Dispute Resolution

These Terms and your use of UTM Buddy are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any legal action or proceeding arising from or relating to these Terms or your use of the service shall be exclusively resolved through binding arbitration in accordance with the Arbitration and Conciliation procedures of the American Arbitration Association (AAA), except that we may seek injunctive or other equitable relief in any court of competent jurisdiction. You agree to commence any arbitration proceeding within one year of the date when the cause of action accrued. Failure to timely commence arbitration shall result in waiver of your claim.
